Terms of Service

1. General

1.1. These Terms of Service (the "Terms") are a legally binding agreement between you ("you", the "User") and the operator of the VSL·TOOLS service ("we", "us", the "Operator"). The Terms govern your use of the websites vsl.tools and my.vsl.tools, the Telegram bot and all related tools (together, the "Service").

1.2. By creating an account, ticking the acceptance checkbox, topping up your balance or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the Service.

1.3. You must be at least 18 years old (or the age of full legal capacity in your jurisdiction, if higher) to use the Service. If you use the Service on behalf of a company, you confirm that you are authorised to bind it; in that case "you" also refers to that company.

1.4. You can contact the Operator at [email protected]. Details about the Operator are provided upon a reasoned request where required by law.

2. What the Service Is

2.1. The Service is a set of online tools based on artificial intelligence (AI) for working with video, audio, images and text, including: speech recognition and captions (including burning them into video), translation, text-to-speech generation, voice cloning from a sample, lip synchronisation with new audio (lipsync), speaker replacement in video, creating video from a photo, and related features. The set of tools may change over time.

2.2. Materials created by the Service are synthetic (artificially generated) content. Generation is performed by machine-learning algorithms, including on the infrastructure of third-party compute providers.

2.3. The Service is a tool that performs automated processing at your command. You determine the content of your materials; we do not initiate content creation and do not edit it at our own discretion.

3. Account

3.1. An account is required to use the Service. You can register with an email address and password, via a Google account or via the Telegram bot; a connected Telegram is also used for sign-in and notifications.

3.2. You agree to provide accurate information and keep it up to date, to keep your credentials confidential, and to notify us immediately if you suspect unauthorised access. All actions performed from your account are deemed your actions until you notify us of a compromise.

3.3. One person may hold one account unless we have agreed otherwise in writing. Transferring an account to third parties without our consent is prohibited.

4. Balance, Pricing and Payment

4.1. The Service operates on a prepaid balance denominated in US dollars. The balance is an advance payment for future services: it is not electronic money or a bank deposit, bears no interest, and may only be used to pay for the Service.

4.2. Current prices (per minute of video, per 1,000 characters of text, per generation, etc.) are shown in your dashboard before each operation is started. We may change prices; new prices apply only to operations started after the change.

4.3. When you start a generation, an estimated cost is reserved on your balance. Upon completion, the cost of the actually performed volume is charged and the difference is released. If the actual volume exceeds the estimate, the cost of the actual volume is charged. If a generation fails for technical reasons, the reserved amount is automatically returned in full — nothing is charged. By starting a generation you request that the service begin immediately and acknowledge that once it has been fully performed you lose any statutory right of withdrawal in respect of it, where such a right exists.

4.4. Amounts charged for an actually completed generation are non-refundable, except where the result was not delivered through our fault or where applicable law provides otherwise.

4.5. Top-ups are processed by third-party payment providers (including cryptocurrency payment providers). Funds are credited once the provider confirms the payment. Network and provider fees, as well as cryptocurrency exchange-rate fluctuations, are outside our control and are not compensated.

4.6. We will refund the unused remainder of a paid top-up upon your request to [email protected], where technically feasible, using the same payment method, minus payment-system fees. Bonus and promotional credits (funds you did not pay for) are non-refundable and lapse when the account is deleted. Refunds are also subject to clause 9.4.

4.7. We may correct obviously erroneous credits (technical failures, double crediting) after notifying you. You are solely responsible for any taxes and duties applicable to you in your jurisdiction.

4.8. If we reasonably suspect fraud, use of stolen payment instruments or money laundering, we may suspend account operations pending clarification.

5. Your Content: Rights and Warranties

5.1. "Input Content" means everything you upload to or enter into the Service: video, audio, images, voice samples, photos of people, texts. "Output" means materials generated by the Service from your Input Content at your command.

5.2. You retain all rights to your Input Content. Rights to the Output — to the extent such rights may arise and vest in us — pass to you upon full payment for the respective generation. We do not use your Input Content or Output for advertising, do not sell them and do not share them with third parties except as described in the Privacy Policy.

5.3. You grant us a non-exclusive, worldwide, royalty-free licence to store, reproduce, technically transform (format conversion, cutting, compression) and process your Input Content and Output solely to the extent necessary to provide the services, offer support and comply with the law. The licence lasts for as long as the materials are stored in the Service.

5.4. By uploading Input Content you warrant that:

• you own all necessary rights to it or have obtained all necessary permissions;
• every living person whose face or voice is recognisable in the Input Content has given you clear — preferably written — consent to the processing of their likeness and voice, including the creation of synthetic speech in their voice and synthetic video with their face;
• the content does not violate applicable law, third-party rights or these Terms.

Upon our reasoned request you must provide evidence of such rights and consents within 7 days; failure to do so is grounds for suspending the processing of the respective content.

5.5. You bear full and sole responsibility for your Input Content, your Output and their further use, including publication on third-party platforms. We are not liable for your unauthorised use of third-party materials.

6. Prohibited Use

6.1. You may not use the Service to create, process or distribute materials that:

• use the face or voice of a real person without their consent, including creating the impression that a person said or did something they did not;
• serve deception or fraud: phishing, fake reviews or endorsements, fictitious "experts" or "doctors", false promises of results, advertising that misleads consumers, or other unfair commercial practices;
• contain sexual content involving a real person without their consent, or any sexual content involving minors — we apply zero tolerance and report such content to the competent authorities;
• call for or glorify violence, terrorism or self-harm; incite hatred against groups of people;
• constitute deliberate disinformation, including political disinformation, or are aimed at election interference or the discrediting of individuals;
• infringe copyright, related or other third-party rights, trade secrets or privacy;
• violate applicable sanctions and export-control laws.

6.2. It is also prohibited to:

• hack the Service or circumvent technical limits, security or billing mechanisms;
• use automated access (bots, scraping) without our written consent;
• place excessive load on the infrastructure or send spam;
• resell the Service or provide access to it to third parties as your own service without our written consent.

6.3. We have the right, but not the obligation, to review content for compliance with these Terms, including by automated means, and may refuse to process content that violates them.

7. Synthetic Content and AI Disclaimers

7.1. AI technology is imperfect. Output may contain errors, visual or audio artefacts, inaccuracies of translation, pronunciation or synchronisation. You must review Output before using it.

7.2. If applicable law (for example, EU artificial-intelligence legislation) or the rules of a platform where you publish Output require labelling synthetic content, you are responsible for such labelling. The Service may add technical marks of synthetic origin to the Output; you agree not to remove such marks.

7.3. Output does not constitute professional advice (legal, medical, financial or otherwise) and is provided without warranties of accuracy.

8. Intellectual Property of the Service

8.1. The Service, its code, design, interfaces, databases, name and logo belong to the Operator or its licensors and are protected by law. We grant you a limited, non-exclusive, revocable right to use the Service for its intended purpose in accordance with these Terms.

8.2. We may use suggestions and feedback about the Service to improve it, without restriction or compensation.

9. Moderation, Suspension and Termination

9.1. If you violate these Terms we may: remove the respective content, restrict individual features, suspend or delete your account. Where possible and lawful, we will warn you and explain the reason; in urgent cases (security threats, legal requirements) we may act without notice.

9.2. If you believe someone has unlawfully used your materials, face or voice in the Service, write to [email protected]: describe the violation, attach links or other identifiers, and confirm that you are the person concerned or the rights holder. Substantiated complaints are granted, including by removal of the content.

9.3. You may stop using the Service and request deletion of your account at any time. The unused paid remainder is refunded in accordance with clause 4.6.

9.4. If an account is closed for a gross violation (fraud, illegal content, use of another person's payment instruments), we may refuse to refund the remainder to the extent permitted by law and may reject re-registration.

9.5. If we decide to discontinue the Service as a whole, we will give reasonable advance notice and refund unused paid balances.

10. Third-Party Services

10.1. The Service relies on third-party suppliers: cloud compute and storage providers, payment providers, Google sign-in, Telegram (bot), Cloudflare (content delivery and protection). The terms of those suppliers additionally apply to the respective features.

10.2. We select suppliers with reasonable care but do not control them and are not liable for their failures beyond the limits set out in Section 12.

11. No Warranties

11.1. The Service is provided "as is" and "as available". To the extent permitted by law, we do not warrant uninterrupted or error-free operation, fitness of the Output for a particular purpose, or compatibility with the requirements of third-party platforms.

11.2. Project files are stored for a limited time (see the Privacy Policy) and are then automatically deleted. Download your Output in good time — the Service is not a cloud storage product.

12. Limitation of Liability

12.1. To the extent permitted by applicable law: we are not liable for indirect damages, lost profits, loss of data or goodwill; the Operator's aggregate liability for all claims related to the Service is limited to the greater of (a) the amount you paid for the Service during the 6 months preceding the event giving rise to the claim, or (b) 50 US dollars.

12.2. Nothing in these Terms limits liability that cannot be limited by law (including for intentional acts) or deprives consumers of rights granted by mandatory rules of their country of residence.

12.3. Neither party is liable for a failure to perform caused by circumstances beyond its reasonable control (force majeure) — large-scale infrastructure or network failures, acts of authorities, hostilities, natural disasters and the like — for the duration of such circumstances.

13. Indemnity

13.1. You agree to indemnify the Operator for documented losses and reasonable expenses (including legal fees) caused by third-party claims arising out of your Input Content, your Output or your breach of these Terms — including claims by persons whose likeness or voice was used without proper consent.

14. Changes to the Terms

14.1. We may update these Terms. We will announce material changes at least 10 days before they take effect — by email, in Telegram or in your dashboard. The date of the current version is shown on this page.

14.2. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree, stop using the Service and contact us about a refund of the remainder under clause 4.6.

15. Governing Law and Disputes

15.1. These Terms are governed by the law of Ukraine, without regard to its conflict-of-law rules. If you use the Service as a consumer, this does not deprive you of the protection of mandatory rules of the country of your habitual residence.

15.2. We aim to resolve disputes by negotiation: write to [email protected] and we will respond within 30 days. If a dispute cannot be settled, it is referred to the competent court in accordance with applicable law.

16. Miscellaneous

16.1. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Operator regarding the Service.

16.2. The invalidity of any individual provision does not affect the validity of the rest. Our failure to enforce a provision is not a waiver of it.

16.3. You may not assign your rights under this agreement without our written consent. We may transfer our rights and obligations to a successor (for example, in a business reorganisation) after notifying you.

16.4. These Terms are drawn up in Ukrainian; the Russian and English translations are provided for convenience. In case of discrepancies, the Ukrainian version prevails.
